A LEGAL DISCLAIMER

Welcome to the Virtual Taximeter service.

We provide software for pricing rides for all types of transportation.

This regulation defines the terms of use of the software.

 

Definitions

VT Application - Virtual Taximeter application for Android platform used for pricing rides using the computer system.

 

ZT - ZT limited liability company based in Krakow 31-263 at ul. Władysława Łokietka 207, entered into the National Court Register under the KRS number 0000938678, with share capital of PLN 5,000.00 (fully paid), Tax Identification Number (NIP): 945-225-08-75

 

Driver - an individual not conducting or conducting business activities personally providing transportation services or an employee or service provider of a Company, operating a vehicle in connection with the provision of transportation services, meeting all necessary legal requirements for providing transportation services, and using the VT Application.

 

VT System - computer system supporting the VT application, performing ride pricing.

 

Driver's Account - an electronic service marked with the driver's username and password enabling access to the VT application and ride history in the VT system. Access to the driver's account is provided through the VT application.

 

Passenger - a person ordering a ride directly from the driver, by phone, or through any ordering application used by the driver.

 

Transportation Fee - Fee due from the Passenger to the Driver providing the transportation service.

 

VT Service - the service of pricing rides performed by drivers through the VT system. The VT Service is defined by the number of price estimates and the number of days of premium application mode operation.

VT Price List - a price list defining the terms of use of the VT application for drivers, directly included within the VT application in the driver's profile.

 

Driver's Account - an account in the VT system enabling access to VT services.

 

Premium Mode - a license determining the duration for which a driver is entitled to use the premium options of the VT application.

 

Estimates - the action of a driver entering the destination address and generating a price estimate for the ride to the specified address.

 

Number of Estimates - the balance of the number of estimates that can be generated assigned to the driver's account.

 

Number of Days of Premium Mode Operation - the number of days for which a driver has purchased a license for the premium mode.

 

§ 1. General Terms

 

1.1. VT provides drivers with the VT application, through which drivers can price or measure rides according to their established price list.

 

1.2. Through the VT services system, the client has the possibility to view characteristic data for the completed transportation as well as an electronic receipt.

 

1.3. Acceptance of a passenger's order by the driver constitutes the conclusion of an agreement between the passenger and the driver. By accepting the conditions conveyed by the driver and displayed in the VT application, the passenger accepts the agreed price and route of the ride.

 

1.4. ZT does not execute passenger transportation agreements, is not a party enabling ride ordering, does not provide intermediary services, and is not responsible for drivers providing transportation.

 

1.5. The VT service is available to drivers based on a paid order for the VT service. The amount of fees for VT services is specified in the VT price list.

 

§ 2. Technical Conditions for Using the VT Application and Virtual Cash Register Application

 

2.1. The full functionality of the VT application and virtual cash register application can be utilized by the passenger upon meeting the following technical conditions:

a) Possession of a functional, switched on, and charged mobile device with an Android system version between 8.0 and 12.0.

b) Connection to the internet network;

c) Possession of an active, configured, and paid driver's account.

 

2.2. Using mobile devices with operating systems not compatible with the versions specified in point 2.1.a may result in improper functioning of the VT application and virtual cash register application.

 

2.3. The driver is solely responsible for meeting the conditions specified in point 2.1 at their own expense and within their own scope.

 

 

2.4. The VT Application is intended to work in any location worldwide where the Google Maps system operates.

2.5. The VT Application is not a measuring application. It does not have metrological approval.

2.6. Before using the VT Application, it is necessary to check the local national requirements regarding distance and time measurements for the type of service to which VT is to be used.

2.7. The functionality of the VT Application is determined by the number of days of premium mode operation based on the purchased license and the ability to generate a specified number of ride estimates. After exhausting the purchased quantities, the driver must make the appropriate purchase of days of cash operation and the number of estimates, by properly topping up their account in the VT Application.

 

§ 3. Conclusion of a Contract for Using the VT Application

 

Only individuals with an account on Google Play are entitled to use the VT Application.

Registration in the VT system is done by registering in the VT application on the Android system. During registration in the system, the driver declares familiarity with this agreement and its acceptance.

User account activation occurs immediately after registration in the VT system.

By accepting this agreement, the driver declares that:

a. They are authorized to enter into the Agreement;

b. The provided company data and information are accurate, correct, up-to-date, and complete;

c. They undertake to promptly update the data;

d. They undertake to use VT services only for lawful purposes and in accordance with the functionality of the VT Application;

e. They undertake to use the Application and other VT services in accordance with this Agreement and applicable law throughout the term of the Agreement.

The Agreement is concluded for an indefinite period. Its extension occurs automatically after the driver makes payment for the next settlement period.

The VT Service Agreement does not require the driver to make any additional payments to extend the operation of VT services. Purchasing the VT service is necessary for pricing rides or measuring rides. Without a purchased premium mode of VT, the driver has access to historical data of their rides, can measure rides, but cannot share or price rides.

Immediately after performing the actions specified in point 3.2 of the VT Agreement, VT sends a welcome email to the driver, which serves as confirmation of the conclusion of the Agreement. The Agreement is attached to the welcome message. The welcome message may include additional information.

 

 

 

1. The welcome message may contain additional information related to the conditions that must be met to use VT services.

2. The driver is obliged to establish a strong password for access to the Driver's Account, taking into account current international security standards, and to keep it confidential. In case of suspicion of its confidentiality loss, the driver is required to change it immediately. The driver is also obligated to promptly inform VT about any unauthorized use of the Driver's Account by third parties.

3. The purchase of VT premium service and the number of estimates is made directly in the VT application using the Google Play payment system for the selected number of months. The VT service is activated after receiving confirmation of successful payment from the payment system.

4. The VT service is activated from the date of payment.

5. If the user has an active VT service, its duration is extended by the corresponding number of months or the purchased number of estimates.

 

 

 

§ 4. Conditions for Cancelling the Use of the Service

 

4.1. The driver may cancel the activation of the VT service at any time, with access to the VT service being provided until the end of the purchased license period for the operation of the cash register. We do not refund fees for unused days or unexecuted ride estimates. Resignation from the active VT service occurs automatically if payment for the next settlement period is not made.

 

4.2. Unused days from the settlement period also do not transfer to other drivers and cannot be used in the future.

 

 

§ 5. Availability of the Application and Termination of Service Provision

 

5.1. Under the general terms of use of the VT application, ZT will strive to ensure the highest availability of VT services as well as the fastest resolution of any issues and failures of the Virtual Taximeter application.

 

5.2. VT reserves the right to partially or completely suspend the operation of the service. In the event of a complete suspension of operations, drivers will be notified with an appropriate message on the virtual-taximeter.com website informing them of the cessation of services by VT.

 

5.3. VT reserves the right to make changes and develop the Virtual Taximeter application as well as expand the profile of services provided through the application. Such changes may be implemented into the Virtual Taximeter application at any time without prior notification to drivers.

 

5.4. ZT is entitled to suspend the availability of the VT Application for the time necessary to carry out maintenance work or ensure data security. ZT will make efforts to ensure that the specified work is carried out in a manner that minimizes inconvenience for drivers. Drivers do not have the right to claim continuous and faultless availability of the VT Service and VT Application.

 

 

 

 

§ 6. General Rights and Obligations of the User

 

6.1. Before starting to use Virtual Taximeter services, the driver is obligated to familiarize themselves with the regulations found on the website www.virtual-taximeter.com. Full use of VT services requires registration of an account in the VT system by providing an email address and creating a strong access password. Registering an account and using the features available in the system is synonymous with accepting the regulations.

 

6.2. The driver is obligated to provide complete and truthful business data required by VT and to verify and update them without requests from ZT.

 

6.3. The driver is obligated to use the VT application according to its intended purpose. The driver shall not, either alone or with the involvement of third parties, alter, circumvent, or violate VT application security measures, nor shall they negatively impact the application's operation.

 

6.4. The driver may not allow third parties access to the Virtual Taximeter application. The driver is solely responsible for the security and confidentiality of access to the driver's account.

 

6.5. An account in the VT Application may be deleted. To delete an account, send a request to office@virtual-taximeter.com. The account is deleted promptly after a valid request is made.

 

§ 7. VT's Liability and Complaints

 

7.1. Subject to applicable law, ZT shall not be liable for the authenticity, correctness, and completeness of data entered into the VT system by the driver.

 

7.2. The security of data on mobile devices is the responsibility of the driver.

 

7.3. The driver is responsible for appropriately securing the access password to the VT application.

 

7.4. ZT only provides access to the VT system. VT is not liable for transportation services provided by drivers.

 

7.5. To the extent permitted by law, ZT shall not be liable for direct, indirect, incidental, consequential, or moral damages arising from or in any way related to the Agreement, including, in particular, the VT application, whether based on contract, breach of law (including negligence of the Party), direct liability, or other, even if ZT has been advised of the possibility of such damages resulting from the performance of the Agreement.

 

7.6. ZT is not liable for application malfunctions and their consequences resulting from:

(i) Unauthorized or unauthorized access to the application;

(ii) Use of the application contrary to its intended purpose or instructions for use.

(iii) Use of the application on a device that does not meet the technical requirements necessary for proper cooperation with the application.

(iv) Lack of application functionality not foreseen in this Agreement or technical specification.

 

7.7. ZT is not responsible for the continuity and operation of the computer systems providing route guidance and suggesting addresses during destination setting.

 

7.8. In the event of a breach of the rules for using the VT Application by the Driver, the driver is fully liable for damages to ZT.

 

7.9. ZT follows the following complaint procedure:

- Complaints should be submitted using the form available on the website or by email to office@virtual-taximeter.com

 

7.10. The complaint should include: driver's details including the email address associated with the account in the system and a detailed description of the reason for the complaint.

 

7.11. ZT responds to the complaint within 14 working days from its submission. The response is sent to the complainant's email address provided in the complaint.

 

7.12. For the proper consideration of the complaint, ZT may request the complainant to provide additional written information or additional documents if obtaining them is necessary for the proper consideration of the complaint.

 

7.13. ZT does not consider complaints related to services rendered. Complaints in this regard should be directly addressed to the drivers who provided the complained service based on the data contained in the ride summary.

 

 

§ 8. Copyrights

 

8.1. Drivers do not have any copyright to the software provided by ZT, which remains the property of ZT.

 

8.2. By using the Virtual Taximeter application and the driver's account, it is prohibited to decompile or perform any actions that interfere with or modify the source code or operation of the application. It is prohibited to copy, modify, decompile, or distribute the provided software in a manner inconsistent with the agreement.

 

8.3. It is prohibited to take actions aimed at unauthorized access to the resources of the VT system.

 

8.4. The license to use is granted solely for the duration of the driver's account activity in the VT system and expires simultaneously with the closure of the account. It is prohibited to use the Virtual Taximeter application after the account activity has expired. 

 

 

§ 9. Personal Data Protection

 

9.1. ZT ensures proper protection of the driver's personal data. Any personal data provided by the driver is processed in accordance with applicable data protection laws, in particular with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).

 

9.2. Detailed information on the processing of passenger's personal data by ZT can be found on the website www.virtual-taximeter.com under the Privacy Policy link.

 

§ 10. Final Provisions

 

10.1. Recognition of individual provisions of the Agreement as invalid or ineffective in the manner provided by law does not affect the validity or effectiveness of the remaining provisions of the Agreement. In place of an invalid or ineffective provision, the Parties undertake to apply a substitute provision that will be closest to the economic and financial objectives of the invalid or ineffective provision and the entire Agreement.

 

10.2. Polish law shall be applicable to this regulation.

 

10.3. This regulation is subject to Polish law, excluding the United Nations Convention on Contracts for the International Sale of Goods.

 

10.4. The competent court for all claims related to the implementation of this Agreement in the event of disputes with non-consumer persons is the court having jurisdiction over the registered office of ZT.
